1. Introduction

Welcome to Tech Sangi (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website and the services we offer, including web development, app development, graphic design, digital marketing, and IT consulting. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these terms, you may not use our services.

2. Our Services

Tech Sangi provides a range of digital services, including but not limited to:

  • Web Development: Creating and maintaining websites.
  • App Development: Designing and building custom mobile applications.
  • Graphic Design: Producing visual content for digital and print media.
  • Digital Marketing: Offering strategies and services to enhance online presence and engagement.
  • IT Consulting: Providing expert advice to streamline and optimize technological processes.

All services are subject to a separate agreement or proposal that will outline the scope, deliverables, timelines, and costs.

3. Client Responsibilities

To ensure the successful delivery of our services, you, the client, agree to:

  • Provide all necessary information, materials, and feedback in a timely manner.
  • Ensure that any materials provided by you (such as text, images, or logos) do not infringe on any third-party copyrights or trademarks.
  • Appoint a single point of contact for all communications and approvals.
  • Attend scheduled meetings and respond to our queries promptly.

4. Payments and Fees

Fees for our services will be detailed in a formal project proposal or invoice. Unless otherwise agreed in writing, our standard payment terms are as follows:

  • An initial deposit is required before any work commences.
  • Milestone payments may be required at various stages of the project.
  • The final balance is due upon completion of the project, prior to the final delivery of files or website launch.

All payments are non-refundable once work has commenced. Late payments may result in a suspension of services and/or late fees.

5. Intellectual Property

Upon receipt of final payment, we grant you a non-exclusive, perpetual license to use the final deliverables. We retain the right to showcase the work in our portfolio and marketing materials. Any preliminary concepts, mock-ups, or unused designs remain the intellectual property of Tech Sangi.

All underlying code, software, and proprietary tools used in the development of your project remain the exclusive property of Tech Sangi, unless a separate licensing agreement is established.

6. Confidentiality

Both parties agree to keep all confidential information, including project details, business strategies, and proprietary data, private and not to disclose it to any third party without prior written consent. This obligation extends beyond the termination of our services.

7. Warranties and Disclaimers

Tech Sangi warrants that our services will be performed in a professional and workmanlike manner. We will make every effort to ensure our work is free of errors. We offer a post-launch support period to address any bugs or technical issues that may arise, as specified in your project agreement.

However, we do not guarantee that our services will be uninterrupted or error-free. We are not responsible for issues caused by third-party services, such as hosting providers, or for changes made to the project by the client after completion.

8. Limitation of Liability

In no event shall Tech Sangi be liable for any lost profits, lost data, or any indirect, incidental, special, or consequential damages arising out of or in connection with our services, even if we have been advised of the possibility of such damages. Our total liability to you for any and all claims arising from our services is limited to the total amount of fees paid by you to us for the services in question.

9. Termination

Either party may terminate the service agreement if the other party is in material breach of these Terms and fails to remedy the breach within a reasonable timeframe. Upon termination, you agree to pay for all services rendered up to the date of termination.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Nepal. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of Kanchanpur.

11. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Any changes will be effective immediately upon posting on our website. Your continued use of our services after any such changes constitutes your acceptance of the new Terms.
